These Terms of Service (“Terms”) govern access to and use of the Syntero website, software platform, APIs, and related services (collectively, the “Services”), provided by Syntero Inc. (“Syntero”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Eligibility

The Services are intended for business use only.
You must be at least 18 years old to use the Services.

2. Services Overview

Syntero provides an AI-native software platform designed to help organizations automate workflows, analyze data, and execute user-authorized actions across connected systems.

Some features may be automated, AI-assisted, or rely on third-party services. Not all features are available to all users.

3. Accounts

To access certain features, you may be required to create an account.

You agree to:

Provide accurate and complete information
Keep your credentials secure
Be responsible for all activity under your account

We may suspend or terminate accounts that violate these Terms, pose security risks, or create legal exposure.

4. Acting on Your Behalf

When you authorize integrations or workflows, Syntero may perform automated or semi-automated actions on your behalf across connected systems.

Such actions:

Are initiated and controlled by you
Are limited to permissions you grant
Can be revoked at any time
Are logged and auditable

Syntero does not act independently of user intent.

5. User Content

You may provide inputs to the Services and receive outputs (“User Content”).

As between you and Syntero:

You retain ownership of your inputs
You own the outputs generated for you, to the extent permitted by law

You are solely responsible for:

The legality of User Content
Verifying outputs before use
Ensuring outputs are suitable for your purposes

Syntero does not guarantee accuracy, completeness, or uniqueness of outputs.

6. Acceptable Use

You agree not to:

Use the Services for unlawful or harmful purposes
Violate applicable laws or third-party rights
Reverse engineer, decompile, or attempt to extract source code
Circumvent security or access controls
Use the Services to send unauthorized or deceptive communications
Misrepresent Syntero or its services

We may suspend or terminate access for violations.

7. Intellectual Property

The Services, including software, design, documentation, and branding, are owned by Syntero or its licensors and are protected by intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

No rights are granted except as expressly stated.

8. Feedback

If you provide feedback, suggestions, or ideas, you grant Syntero the right to use them without restriction or compensation.

9. Third-Party Services

The Services may integrate with or link to third-party platforms, tools, or content.

Syntero:

Does not control third-party services
Is not responsible for their content or practices
Does not endorse third-party products or services

Your use of third-party services is at your own risk and subject to their terms.

10. Fees

Some Services may require payment.
Pricing, billing terms, and refunds (if any) are governed by separate agreements, order forms, or subscriptions where applicable.

Public access to the website does not guarantee access to paid features.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Syntero does not warrant that:

The Services will be error-free or uninterrupted
Outputs will be accurate, complete, or suitable for any specific use
Results will meet your expectations

You use the Services at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTERO SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS
RELIANCE ON OUTPUTS OR AUTOMATED ACTIONS

IN ALL CASES, SYNTERO’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SYNTERO (IF ANY) IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Syntero from claims arising out of:

Your use of the Services
Your User Content
Your violation of these Terms or applicable law

15. Termination

You may stop using the Services at any time.

We may suspend or terminate access:

For violations of these Terms
For legal or security reasons
To comply with law or protect Syntero or others

Sections that by nature should survive termination will survive.

16. Changes to the Services or Terms

We may modify the Services or these Terms from time to time.

Material changes will be posted on the website. Continued use of the Services constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles.

Any disputes shall be brought exclusively in the competent courts of Tel Aviv-Yaffo.

18. General

These Terms constitute the entire public agreement regarding use of the Services and supersede prior public terms.

If any provision is found unenforceable, the remaining provisions will remain in effect.
